By accessing this website and submitting forms to request audits, resources, or services, you agree to comply with and be bound by the following Terms of Service.
1. Lead Magnets & Free Audits
The free diagnostic reports, audits, and marketing resources provided on this website are for informational and educational purposes only. Submitting your information does not establish a formal agency-client relationship for paid services until a separate, formal Service Agreement is executed.
2. Paid Services
Paid marketing services are governed by a separate, signed Service Agreement between Client and VIP Client Systems Corp. ("Company"). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement controls. As with our free resources, Company does not guarantee specific results, lead volume, revenue, or return on investment from paid Services; all strategies and automations are provided based on industry best practices.
3. Intellectual Property
All content of the reports, audits, and marketing materials provided on this website remains the exclusive intellectual property of Company. You are granted a limited, personal license to review the audit and recommendations for your own business. Ownership of intellectual property related to paid Services is governed by the applicable Service Agreement.
4. Client Automations & Data
Where Company provides paid marketing automation services, Company may process certain data on behalf of Client — including Client's own customer and lead information — solely to deliver the contracted Services, as further described in the applicable Service Agreement and our Privacy Policy.
5. Auto-Renewal & Cancellation
Paid subscription Services renew automatically each month unless cancelled. Before initiating any paid subscription, Company will clearly and conspicuously disclose these automatic renewal terms and provide a simple mechanism for cancellation, consistent with New York law. Client may cancel at any time by providing the written notice required under the applicable Service Agreement; cancellation takes effect at the end of the then-current billing cycle unless early termination terms in the Service Agreement apply.
6. Limitation of Liability
Any strategy, audit, or recommendation provided is offered "as is" without guarantees of specific financial outcomes or revenue gains. In no event shall Company be liable for any direct, indirect, or consequential damages resulting from the use of, or inability to use, the information provided in our free resources.
7. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.
